1. Who we are and what this agreement covers
Island Ledger ("Island Ledger," "we," "us," or "our") is operated by [COMPANY NAME / SOLE TRADER NAME], located at [ADDRESS]. These Terms of Service ("Terms") govern your access to and use of the Island Ledger website and application (the "Service"). By creating an account or using the Service, you agree to these Terms.
2. Eligibility and account registration
You must be at least 18 years old and able to form a binding contract to use the Service. You're responsible for the accuracy of the information you provide when creating an account, and for keeping your login credentials secure. You're responsible for all activity that happens under your account.
3. The Service
Island Ledger lets you create customer invoices, record vendor bills, track payments, and generate financial reports. The Service is provided on a software-as-a-service basis; we may add, change, or remove features from time to time.
4. Free trial
New accounts receive a 30-day free trial with full access to the Service and no payment information required upfront. If you don't subscribe before the trial ends, your account and data are kept — nothing is deleted — but the Service switches to a generate-only mode with reduced functionality until you subscribe. Subscribing at any point, during or after the trial, restores full access immediately.
5. Subscriptions and billing
Paid subscriptions are billed on a recurring basis (monthly, unless stated otherwise at checkout) through PayPal. By subscribing, you authorize us to charge your chosen PayPal account each billing cycle until you cancel. Subscriptions renew automatically unless cancelled before the next billing date.
Fees are set out on our Pricing page at the time you subscribe. We'll give you reasonable notice of any price change before it takes effect on your account.
6. Cancellation and refunds
You may cancel your subscription at any time from your account settings or by contacting support@island-ledger.com. Cancellation takes effect at the end of your current billing period — we don't provide partial-period refunds except where required by law or at our discretion.
7. Your data
You own the business data you enter into Island Ledger — your customers, vendors, invoices, bills, and payment records. We don't claim ownership of it, and we only use it to provide the Service to you, as described in our Privacy Policy. You're responsible for the accuracy of the data you enter.
8. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or to defraud any person;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
- Resell, sublicense, or provide the Service to third parties as your own product.
9. Intellectual property
The Service — including its software, design, branding, and documentation — is owned by Island Ledger and protected by intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or brand assets beyond what's needed to use the Service.
10. Service availability
We aim to keep the Service reliably available, but we don't guarantee it will be uninterrupted or error-free. We may perform maintenance, and the Service may occasionally be unavailable as a result. The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law.
11. Limitation of liability
To the fullest extent permitted by law, Island Ledger will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the [12 MONTHS] preceding the claim.
12. Termination
We may suspend or terminate your access to the Service if you breach these Terms, or if we reasonably believe your account poses a risk to the Service or other users. You may stop using the Service and cancel your subscription at any time. On termination, the data-retention behavior described in Section 4 and our Privacy Policy continues to apply.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the Service before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of [JURISDICTION, e.g. Trinidad and Tobago], without regard to its conflict-of-law principles.
